Form I-956K: Registration for Direct and Third-Party Promoters

Form I-956K, Registration for Direct and Third-Party Promoters, is how a promoter in the EB-5 Regional Center Program registers with USCIS. The USCIS page says each person acting as a direct or third-party promoter, including migration agents, of a regional center, any new commercial enterprise (NCE), an affiliated job-creating entity (JCE), or an issuer of securities intended to be offered to immigrant investors in connection with a particular capital investment project completes it.

The instructions say a promoter should submit Form I-956K before operating on behalf of any of those entities or promoting any offering under the program, and separately from Form I-956F. Subagents and employees of entities with agreements to promote these offerings are included.

The instructions also say regional centers, NCEs and JCEs involved solely in promoting an offering of securities associated with them in a related filing, such as Form I-956F, do not need to file a separate Form I-956K.

Where to file, timing, evidence and fees

Where to file

The USCIS page lists a U.S. Postal Service address (USCIS, Attn: I-956K, P.O. Box 660168, Dallas, TX) and a Lewisville, TX address for FedEx, UPS and DHL deliveries. It lists no online filing option.

When to file

The instructions say before operating on behalf of a regional center, NCE, JCE or issuer of securities, or promoting any offering under the EB-5 Regional Center Program.

Fee

The fee is on the USCIS Fee Schedule page (Form G-1055), which can change. Check it on the day you file.

Evidence

When applicable, the instructions list a valid government-issued ID card and all passports for an individual, current formation documents and business registrations for an organization, and a copy of each required written agreement.

Employees and subagents

The instructions say an employee may reference the employer's own Form I-956K and agreements instead of sending copies. A subagent may also reference them, but describes and includes its own agreements with the primary promoter or the entities.

Copies and translations

Send legible photocopies unless originals are requested, and include a full English translation with the translator's certification for any foreign-language document. The page says USCIS rejects an unsigned form.

Who files Form I-956K?

  • Direct and third-party promoters

Part 1 lists three types for an initial registration: direct promoter, third-party promoter and migration agent. The form says to select all that apply.
