Allocation Schedule for Aggregate Form 941 Filers
Schedule R (Form 941), Allocation Schedule for Aggregate Form 941 Filers, allocates certain aggregate information reported on Form 941 or 941-X to each client. The instructions define a client as an employer or payer identified on Form 2678, a customer under a contract or service agreement with a certified professional employer organization (CPEO) or a non-certified PEO, or a third party paying qualified sick leave wages as an agent for the employer. The form says the term client includes customer.
Each client gets its own line, with columns tied to specific lines of Form 941 or Form 941-X, such as the number of employees, wages, federal income tax withheld, social security and Medicare taxes, the research payroll tax credit, total taxes after adjustments and total deposits. The instructions say the totals on line 9 match the aggregate Form 941.
The March 2024 revision adds a checkbox showing whether the schedule is attached to Form 941 or Form 941-X. The PDF can be filled out free in the browser on this page and downloaded without an account.
EIN, the name as shown on Form 941, the type of filer (Section 3504 Agent, CPEO or Other Third Party), the calendar year, the quarter, and whether it is attached to Form 941 or 941-X.
Client's EIN, the type of wages code (CPEO only), and amounts from Form 941, lines 1, 2, 3, 5a and 5b, 5c and 5e, plus Form 941-X, lines 9 and 10.
Form 941, lines 5f, 11 and 12, and Form 941-X credit lines for qualified sick and family leave wages and COBRA premium assistance. Column m is reserved for future use.
Form 941, line 13 (total deposits), and Form 941-X lines for qualified health plan expenses and qualified sick and family leave wages. Columns s, t and v are reserved for future use.
Lines 1 to 5 for clients, line 6 for client subtotals, line 7 for the Continuation Sheet subtotals, line 8 for the filer's own employees and line 9 for the totals.
Eight more client lines per sheet, with a line 9 subtotal that the form says is carried to Schedule R, page 1, line 7.
Enter the EIN and business name exactly as shown on the attached Form 941 or 941-X, then check one Type of filer box.
Enter the calendar year, check the quarter that matches the attached return, and check whether Schedule R is attached to Form 941 or Form 941-X.
Enter each client's EIN in column a and the amounts allocated to it. The instructions say a CPEO that paid more than one type of wages uses a separate line for each code A, B, C or D in column b.
The instructions say not to enter commas in amounts over 999.99. Columns used only with Form 941-X stay blank when the schedule is attached to Form 941.
With more than five clients, the instructions say to complete as many Continuation Sheets as needed and enter their combined line 9 subtotals on page 1, line 7.
Enter the filer's own Form 941 amounts on line 8 and add lines 6, 7 and 8 on line 9. The instructions say the totals match the aggregate Form 941, and a mismatch is an error to correct before filing.
You get the real form, filled in a browser tab, with nothing standing between you and the finished PDF.
The instructions say an aggregate Form 941 filer files Schedule R with its aggregate Form 941 every quarter, with any Continuation Sheets attached.
Agents and non-certified PEOs may file Form 941 and Schedule R electronically or on paper, the instructions say. CPEOs generally file them electronically, as described in Rev. Proc. 2023-18.
Column k holds the qualified small business payroll tax credit allocated to each client, and the instructions say a separate Form 8974 is attached for each client claiming it.
The instructions say the March 2024 revision is generally for quarters beginning after December 31, 2023, and not to use an earlier revision for those quarters. A prior revision may be needed with some Forms 941-X.

Schedule R is completed by third parties that file aggregate Forms 941 covering several clients. It is not a form individual employees or most single employers fill out.
No tool matches that search.
The instructions say it allocates certain aggregate information reported on Form 941 or 941-X to each client of the filer.
Section 3504 agents and CPEOs with every aggregate Form 941, and other third-party payers such as non-certified PEOs when clients claim the qualified small business payroll tax credit for increasing research activities or claim credits on Form 941-X.
The instructions say Form 2678 is filed and approved by the IRS before an agent files Schedule R. An organization becomes a CPEO by applying through the IRS Online Registration System.
The instructions say to complete as many Continuation Sheets as necessary and attach them, with Schedule R, to the aggregate Form 941.
The instructions say the line 9 totals match the aggregate Form 941. If they don't, there is an error to correct before filing Form 941 and Schedule R.
In most cases it is for quarters beginning after December 31, 2023. The instructions note rare cases, such as a client eligible for the COBRA premium assistance credit after the first quarter of 2022, where it is filed with Form 941-X for an earlier quarter.
