941-X
Adjusted Employer's QUARTERLY Federal Tax Return or Claim for Refund
Form 941-X is the Adjusted Employer's QUARTERLY Federal Tax Return or Claim for Refund. The IRS About page says to use it to correct errors on a Form 941 that was previously filed, and the form says it also corrects Form 941-SS.
The instructions list what it corrects: wages, tips and other compensation; federal income tax withheld; taxable social security wages and tips; taxable Medicare wages and tips; wages and tips subject to Additional Medicare Tax withholding; the qualified small business payroll tax credit for increasing research activities; and amounts reported for the credit for qualified sick and family leave wages and the COBRA premium assistance credit. Each line has columns for the corrected amount, the amount originally reported, the difference and the tax correction.
The employer picks one of two processes: an adjusted employment tax return or a claim for refund or abatement. The form says to use a separate Form 941-X for each quarter that needs correction and to complete all five pages. The instructions say it can be filed electronically using Modernized e-File (MeF). The PDF can be filled out free in the browser on this page and downloaded without an account.
EIN, name, trade name and address, the return being corrected (941 or 941-SS), the one quarter and calendar year, the date errors were discovered, and the Aggregate Return Filers Only boxes.
Line 1 for an adjusted employment tax return and line 2 for a claim. The form says not to check line 2 when correcting any underreported tax amounts.
Line 3 certifies that Forms W-2 or W-2c have been or will be filed. Lines 4 and 5 hold certifications about repaying employees, employee statements and consents, or correcting the employer's share only.
Lines 6 to 40, each tied to a Form 941 line, with four columns. Line 23 combines lines 7 through 22 of column 4 and line 27 is the total. Several lines are reserved for future use.
Line 41 for corrections with both underreported and overreported amounts, line 42 for reclassified workers, and line 43 for a detailed explanation of how the corrections were determined.
The signature, printed name, title, date and best daytime phone, the Paid Preparer Use Only section, and a page 6 chart titled Which process should you use?
Enter the EIN, name and address, check 941 or 941-SS and the one quarter, and enter the calendar year and the date errors were discovered. The instructions say to enter the earliest date when errors were found at different times.
Check line 1 or line 2, not both. The form says line 1 is checked when correcting both underreported and overreported amounts, and line 2 only for overreported amounts to ask for a refund or abatement.
Check line 3. The form says to skip lines 4 and 5 when correcting underreported tax amounts only. For overreported amounts, at least one box applies on line 4 or line 5.
For each line that changes, enter the corrected total in column 1, the amount originally reported or as previously corrected in column 2 and the difference in column 3. Lines that don't apply stay blank. The instructions say to show negative amounts with a minus sign.
Combine lines 23 through 26c of column 4. The form says a negative amount is credited to Form 941 under line 1 or refunded or abated under line 2, and a positive amount is paid by the time the return is filed.
Check lines 41 and 42 if they apply and explain each correction on line 43. The instructions ask for the line numbers affected, the date the error was discovered, the amount and the cause. Then sign on page 5.
You get the real form, filled in a browser tab, with nothing standing between you and the finished PDF.
The instructions say to file by the due date of the return for the period in which the error was discovered and pay by the time of filing: April 30, July 31, October 31 or January 31, by quarter of discovery.
Under the adjustment process the instructions say to file more than 90 days before the period of limitations expires. A claim can be filed any time before it expires. In the last 90 days, only the claim process is available.
The instructions say overreported taxes can generally be corrected within 3 years of the date Form 941 was filed or 2 years from the date the tax was paid, whichever is later, and underreported taxes within 3 years of filing.
Electronic filing is encouraged. For paper, the instructions give a state chart: Department of the Treasury, Internal Revenue Service, Cincinnati, OH 45999-0005 or Ogden, UT 84201-0005, with a separate address for private delivery services.
The form says not to attach it to Form 941 unless reclassifying workers. The instructions say errors only in the number of employees or in tax liabilities on Form 941, Part 2, or Schedule B (Form 941) are not corrected on Form 941-X.
The instructions encourage paying electronically through EFTPS, IRS Direct Pay or the IRS business tax account, or by credit or debit card, and otherwise by check or money order.

The instructions say prior-year federal income tax withholding can be corrected only for administrative errors, meaning transposition or math errors in the amount reported, and for errors where section 3509 rates apply.
